Welcome to Eikon Accounting SC. These Terms of Service govern your use of our client portal and professional services. By accessing our services, you agree to these terms. Please read them carefully before using our services.

1. Acceptance of Terms

1.1 Binding Agreement. These Terms of Service ("Terms") constitute a legally binding agreement between Eikon Accounting SC ("the Firm," "we," "us," or "our") and the user ("Client," "you," or "your").

1.2 Consent through Use. By creating an account, accessing the Eikon Client Portal, or utilizing our professional services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.3 Wisconsin Service Corporation. You acknowledge that Eikon Accounting SC is a professional service corporation organized under Wisconsin Stat. Ch. 180. All professional services are rendered in accordance with the Wisconsin Accounting Examining Board standards and AICPA Code of Professional Conduct.

2. Professional Relationship

2.1 Portal Access. The Eikon Portal is a digital interface provided to facilitate secure document exchange and service delivery. Access to the portal does not, in itself, create a client-accountant relationship.

2.2 Engagement Letters. A professional relationship for a specific tax year, bookkeeping project, or consulting engagement is only established upon the execution of a formal Professional Engagement Letter within the portal.

2.3 Scope of Work. The specific duties, fees, and responsibilities of the Firm will be governed by the signed Engagement Letter, which shall supersede these Terms in the event of a direct conflict regarding professional deliverables.

3. User Accounts & Security

3.1 FTC Safeguards Compliance. To comply with the FTC Safeguards Rule and IRS Publication 4557, you are required to utilize Multi-Factor Authentication (MFA) for all portal access.

3.2 Credential Responsibility. You are solely responsible for maintaining the confidentiality of your credentials. Eikon is not liable for unauthorized access resulting from your failure to secure your login information or MFA devices.

3.3 Data Veracity. You warrant that all information provided to the Firm is accurate and complete. You acknowledge that the Firm relies on the data you provide to prepare filings, and Eikon is not responsible for tax penalties or interest resulting from omitted, false, or misrepresented information.

4. Service Availability & Continuity

4.1 System Availability. While we strive for 24/7 accessibility, Eikon and its technology partner, Founders Hub, do not guarantee uninterrupted access. We reserve the right to perform scheduled maintenance and emergency updates.

4.2 Force Majeure. We are not liable for service interruptions caused by factors beyond our reasonable control, including but not limited to server outages, national internet disruptions, cyber-attacks, or "Acts of God."

4.3 Alternative Compliance. In the event of portal unavailability, you remain responsible for meeting all regulatory and IRS deadlines. You must contact Eikon via alternative secure channels (email or phone) to arrange data transmission if the portal is inaccessible near a filing deadline.

5. AI-Enabled Processing & Oversight

5.1 Algorithmic Assistance. Our platform utilizes backend Artificial Intelligence (AI) and machine learning for data extraction (OCR), transaction categorization, and anomaly detection to enhance accuracy and efficiency.

5.2 Human-in-the-Loop. You acknowledge that AI technology is a supportive tool and all final tax positions, financial reports, or filings are subject to review and approval by a licensed professional at Eikon.

5.3 Preliminary Data Disclaimer. Any data categorized or flagged by AI prior to professional review is considered “Draft” and is subject to change during the final professional review process.

6. Proprietary Electronic Signatures

6.1 Click-to-Sign. In accordance with Wisconsin Stat. Ch. 137, you agree that "clicking to sign," "accepting," or "approving" within the portal constitutes a legally binding electronic signature.

6.2 Audit Trail. You consent to the collection of metadata, including IP addresses, timestamps, and session identifiers, as part of the digital audit log required to verify the authenticity and non-repudiation of your signatures.

7. Referral Transparency

7.1 Disclosure of Fees. Eikon may pay referral compensation to strategic partners for client introductions. These fees are paid strictly from Firm profits and do not result in any surcharge or increased fee to you.

7.2 Data Firewall. Referral partners are strictly prohibited from accessing your financial records, tax returns, or private portal data. No non-public personal information (NPI) is shared with partners without separate, explicit consent.

8. Limitation of Liability

8.1 Technical Liability Cap. To the maximum extent permitted by Wisconsin law, Eikon’s total liability for any technical failure, platform downtime, or administrative error shall not exceed the total fees paid by you to the Firm during the twelve (12) months preceding the claim.

8.2 Professional Standards. This cap applies specifically to platform-related technical claims and does not supersede or limit professional liability standards for tax preparation or attest services as governed by Wisconsin professional statutes.

9. User Indemnification

9.1 General Indemnity. You agree to indemnify and hold harmless Eikon Accounting SC, its officers, and its technology partner, Founders Hub, from any third-party claims, penalties, or legal costs arising from your provision of fraudulent data or your failure to secure your account credentials.

10. Data Retention & Termination

10.1 Retention. We retain records for seven years to meet IRS and Wisconsin professional requirements. Following this period, data is destroyed according to our data destruction policy.

10.2 Transition Period. Upon termination of services, you will have a 30-day "Grace Period" to download your records before portal access is revoked and data is moved to encrypted cold storage.

10.3 Workpaper Ownership. While you own your original source documents, the Firm retains ownership of its internal workpapers, proprietary AI logs, and analytical data created during the course of the engagement.

11. Governing Law & Venue

11.1 Jurisdiction. These Terms are governed by the laws of the State of Wisconsin.

11.2 Exclusive Venue. Any legal proceedings arising under these Terms shall be brought exclusively in the state or federal courts located in Green County, Wisconsin
